1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and xD ("xD," "we," "our," or "us"). These Terms govern your access to and use of the xD platform, located at xd.fun (the "Platform"), and all related services (collectively, the "Services").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.

2. Risk Warning

IMPORTANT: The Platform enables users to create and interact with user-generated digital assets ("Tokens") on the Solana blockchain. These Tokens, particularly memecoins, are highly speculative and volatile. You acknowledge and accept the following risks:

  • Volatility: The value of Tokens can fluctuate dramatically. You may lose some or most of your investment.
  • User-Generated Content: xD does not create, endorse, or guarantee any Tokens on the Platform. All Tokens are created by independent users, and xD has no control over their quality, legitimacy, or value.
  • No Financial Advice: Nothing on the Platform constitutes financial, investment, legal, or tax advice. We are not your broker, advisor, or fiduciary. You are solely responsible for your own investment decisions.
  • Blockchain Risks: Transactions on the Solana blockchain are irreversible. Network congestion, smart contract bugs, and other technical issues may affect your transactions.
  • Do Your Own Research: Before interacting with any Token, you should conduct your own due diligence. Only use funds you can afford to lose entirely.

3. Eligibility

The Platform is designed for users who are of legal age in their jurisdiction. While we do not enforce age verification due to the wallet-based nature of the Platform, use of this Platform by individuals under 18 years of age is not recommended due to the speculative and potentially mature nature of user-generated content that may appear on the Platform.

We actively moderate the Platform to provide the best experience for all users, but we cannot guarantee that all content will be appropriate for all audiences.

By using the Platform, you represent and warrant that:

  • (a) You have the legal capacity to enter into these Terms in your jurisdiction;
  • (b) Your use of the Platform does not violate any applicable laws in your jurisdiction;
  • (c) You are not located in, or a resident of, any jurisdiction where use of the Platform would be illegal;
  • (d) You are not subject to economic sanctions or designated on any prohibited party list.

4. Platform Services

xD provides a platform that enables users to:

  • (a) Create Tokens on the Solana blockchain;
  • (b) Configure "Creator Fees" with our unique distribution system;
  • (c) Adjust fee structures, including the ability for creators to lower fees for all participants;
  • (d) Buy, sell, and trade user-generated Tokens.

Creator Fee Distribution: The Platform allows creators to distribute fees to third parties, including social media accounts (such as Instagram, YouTube, and Twitter/X). If you are designated as a fee recipient via a social media account, you must log into the Platform and verify ownership of that social media account to claim your fees. Verification requires linking and proving ownership of the associated social media profile. xD is not responsible for unclaimed fees or disputes regarding social media account ownership.

The Platform operates on the Solana blockchain. All transactions are executed via smart contracts and are recorded on-chain. xD does not have custody of your funds or Tokens at any time.

5. Wallet Connection

To use the Platform, you must connect a compatible Solana wallet. We support all major Solana wallets and strive to support as many wallet providers as possible.

You are solely responsible for:

  • (a) Maintaining the security of your wallet and private keys;
  • (b) All activity that occurs through your connected wallet;
  • (c) Ensuring your wallet has sufficient funds (including SOL for transaction fees) before initiating transactions.

xD has no control over your wallet, cannot recover lost private keys, and cannot reverse or modify blockchain transactions.

6. Fees

The Platform may charge fees for certain services. The current fee structure is available on the Platform. By using fee-based services, you agree to pay all applicable fees.

Additionally, you are responsible for all blockchain network fees (gas fees) associated with your transactions. These fees are paid directly to the Solana network, not to xD.

We reserve the right to modify our fee structure at any time. Changes will be posted on the Platform, and your continued use constitutes acceptance of updated fees.

7. Token Creation and Responsibility

Any user with a connected wallet may create a Token on the Platform. By creating a Token, you acknowledge and agree that:

  • (a) You assume full responsibility for your Token, including its name, symbol, imagery, description, and any associated content;
  • (b) You are solely liable for any legal claims, disputes, or damages arising from your Token;
  • (c) xD does not endorse, verify, or guarantee any Token created on the Platform;
  • (d) Once deployed to the blockchain, Tokens cannot be removed or modified by xD.

Important: Because Tokens are deployed directly to the Solana blockchain, xD cannot remove, delete, or alter any Token after creation. The blockchain is immutable. Users should exercise caution and conduct their own research before interacting with any Token.

8. User Content

When creating a Token, you are required to upload an image and may optionally provide a description. By uploading content, you represent and warrant that:

  • (a) You own or have the necessary rights and licenses to use the content;
  • (b) The content does not infringe on any third party's intellectual property rights;
  • (c) The content does not violate any applicable laws.

You grant xD a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute your content solely in connection with operating the Platform.

9. Content Policy and Freedom of Expression

xD values freedom of expression and does not impose restrictions on the types of Tokens that can be created on the Platform. We do not prohibit specific token types based on content or theme.

However, we actively moderate the Platform to maintain quality and will make reasonable efforts to address content that may be illegal, fraudulent, or harmful. Due to the decentralized nature of blockchain technology, our ability to remove on-chain content is limited.

Users should exercise their own judgment and caution when interacting with any content on the Platform.

10. Prohibited Conduct

While using the Platform, you agree not to:

  • (a) Violate any applicable laws or regulations;
  • (b) Engage in market manipulation, including wash trading, pump and dump schemes, or other deceptive practices;
  • (c) Use the Platform to defraud other users;
  • (d) Attempt to gain unauthorized access to the Platform or other users' wallets;
  • (e) Introduce malware, viruses, or other harmful code;
  • (f) Interfere with the proper functioning of the Platform;
  • (g) Use bots or automated systems to manipulate the Platform in unauthorized ways.

11. No Refunds

All transactions on the Platform are final and non-refundable. Due to the nature of blockchain technology, transactions cannot be reversed or canceled once confirmed on the network.

You acknowledge that you bear all risk associated with your transactions, including the potential loss of all funds. xD is not responsible for any losses resulting from price volatility, failed transactions, user error, or any other cause.

12. Intellectual Property

The Platform, including its design, code, logos, trademarks, and all other intellectual property, is owned by xD and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of any Platform materials without our prior written consent.

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.

13. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

Please note that blockchain transactions are public by nature. Your wallet address and transaction history on the Solana blockchain are publicly visible and cannot be made private.

14. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by law, xD disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • (a) The Platform will be available at all times or operate without interruption;
  • (b) The Platform will be free from errors, bugs, or security vulnerabilities;
  • (c) Any Tokens or transactions will perform as expected;
  • (d) Any information on the Platform is accurate or complete.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • (a) Your use or inability to use the Platform;
  • (b) Any Tokens you create, buy, sell, or interact with;
  • (c) Unauthorized access to your wallet or transactions;
  • (d) Errors, bugs, or vulnerabilities in the Platform or blockchain;
  • (e) Any third-party conduct or content on the Platform.

In no event shall xD's total liability exceed the greater of (i) the fees you paid to xD in the twelve (12) months preceding the claim, or (ii) one hundred U.S. dollars ($100).

16. Indemnification

You agree to indemnify, defend, and hold harmless xD and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • (a) Your use of the Platform;
  • (b) Any Tokens you create;
  • (c) Your violation of these Terms;
  • (d) Your violation of any rights of any third party.

17. Dispute Resolution

17.1 Informal Resolution

Before filing any formal legal action, you agree to contact us and attempt to resolve any dispute informally for at least thirty (30) days.

17.2 Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

17.3 Class Action Waiver

YOU AND XD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and xD agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law principles.

19. Termination, Suspensions, and Restrictions

19.1. We may at any time modify or discontinue, temporarily or permanently, any portion or feature of the Platform or Services. In particular, we may: (i) refuse to complete, block, cancel, or reverse (to the extent possible) any action you have undertaken; (ii) terminate, suspend, or restrict your access to any or all of the Platform and Services; (iii) refuse to transmit information or instructions to third parties (including third-party wallet operators); and/or (iv) take whatever action we consider necessary, in each case with immediate effect and for any reason including, but not limited to, where:

  • (a) You are not, or are no longer, eligible to use the Platform and Services;
  • (b) We reasonably suspect that:
    • (i) the person connecting to the Platform with your wallet is not you, or we suspect that you have been or will be using the Platform for any illegal, fraudulent, or unauthorized purposes;
    • (ii) information provided by you is wrong, untruthful, outdated, or incomplete;
  • (c) We reasonably consider that we are required to do so by applicable law, or any court or authority;
  • (d) We have determined or suspect:
    • (i) that you have breached these Terms;
    • (ii) that any activity is unauthorized, erroneous, fraudulent, or unlawful, or we suspect the Platform, Services, or your wallet are being used as such;
    • (iii) there is any occurrence of money laundering, terrorist financing, fraud, or any other crime in connection with your usage;
  • (e) Your usage is subject to any pending, ongoing, or threatened litigation or regulatory proceedings;
  • (f) You have taken any action that may circumvent our controls without our consent;
  • (g) There is any other valid reason which means we need to do so.

19.2. You acknowledge and agree that:

  • (a) The examples set out above are non-exhaustive; and
  • (b) Our decision to terminate, suspend, or restrict access may be based on confidential criteria that are essential to our risk management and security protocols. We are under no obligation to disclose these to you.

19.3. Where we terminate, suspend, or restrict your access:

  • (a) If you have transactions that are open, they may be closed by you or by us depending on the circumstances;
  • (b) You authorize us to deduct any unpaid costs and fees directly from assets in the wallet you connected.

19.4. If we are informed and reasonably believe that any digital assets in your wallet are stolen or not lawfully possessed by you (whether by error or otherwise), we may, but are not obligated to, terminate your usage of the Platform and Services. Except where required by law, we will not become involved in any dispute relating to such assets or their origin.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and xD regarding the Platform and supersede all prior agreements and understandings.

22. Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction.

24. Acknowledgment

By using the Platform, you acknowledge that you have read these Terms, understand them, and agree to be bound by them. You also acknowledge that these Terms supersede any prior agreements or understandings between you and xD.
